Spot Ads — Terms of Service (TOS)

Please read these Terms of Service (“Terms”) carefully before using Spot Ads.

1 - Interpretation & Definitions

1.1 - Interpretation

Words with capitalized initial letters have specific meanings defined below. These definitions apply equally to singular and plural forms.

1.2 - Definitions

Account – A unique profile used to access Spot Ads.
Advertiser – A business or individual purchasing promotional placements from Creators.
Affiliate – Any entity controlling, controlled by, or under common control with Spot Ads.
Application – The Spot Ads web platform or mobile version.
Buyer – Same as Advertiser.
Country – United States (or your country of incorporation).
Content – Any text, images, videos, links, or data uploaded to the Service.
Creator – Users offering promotional placements (YouTube, TikTok, Twitch, Instagram, X, etc.).
Device – Any device capable of accessing the Service.
Feedback – Suggestions or ideas submitted to Spot Ads.
Goods – Sponsorship placements, shoutouts, digital promotions, or any listings on Spot Ads.
Order – A request by an Advertiser to purchase or negotiate a listing.
Service – The Spot Ads website and related systems.
Terms – This Terms of Service Agreement.
Third-Party Social Media Service – Any linked external platform (YouTube, Stripe, etc.).
Website – The Spot Ads platform at https://spotads.com.
You – The user accessing or using the Service.

3 - Acknowledgment

These Terms govern your use of Spot Ads. By accessing the Service, You agree to be bound by these Terms.

If You disagree with any part of the Terms, You may not use Spot Ads.

You must be at least 18 years old (or legal age in your jurisdiction) to use this Service.

Your use of Spot Ads is also governed by our Privacy Policy.

4 - Governing Law

These Terms are governed by the laws of the United States and the State of {{ Your State }}, excluding conflict-of-law rules.

4.1 - EU Users

EU consumers retain mandatory protections of their resident country.

4.2 - U.S. Compliance

You confirm that you are not located in a sanctioned or restricted jurisdiction.

4.3 - Severability

Invalid provisions will be adjusted without affecting remaining Terms.

4.4 - Waiver

Failure to enforce rights does not waive future enforcement.

5 - User Accounts

5.1 - Account Creation

You must provide accurate and complete information when creating an Account. False information may result in termination.

5.2 - Required Information

Depending on your role, you may be asked for:

  • Name
  • Email
  • Phone number (Advertisers)
  • Creator platform details
  • Business information
  • Bank payout details (Creators via Stripe Connect)
  • Government ID or tax info (handled securely by Stripe)

5.3 - Account Security

You are responsible for safeguarding your login credentials.

5.4 - Account Termination

We may suspend or terminate Accounts for violating Terms. You may delete your Account at any time.

6 - Content

6.1 - Your Right to Post

Creators may upload content (titles, descriptions, links, analytics, media).
You retain ownership but grant us a license to display the Content within the platform.

6.2 - Content Restrictions

You may NOT upload:

  • Illicit, hateful, violent, defamatory, or obscene content
  • Copyrighted material you do not own
  • Fake metrics or misleading data
  • Malware or harmful files
  • Impersonations or fraudulent identities
  • Spam, scams, or deceptive promotional tactics

We may remove or restrict content at our discretion.

6.3 - Content Backup

We attempt to preserve data but cannot guarantee prevention of loss or corruption.

6.4 - Copyright / DMCA

DMCA notices must be sent to dmca@spotads.com and include:

  • Owner’s signature
  • Description of infringing material
  • URLs involved
  • Contact information
  • Good-faith statement
  • Perjury statement

We will remove offending material when appropriate.

7 - Orders & Marketplace Transactions

Spot Ads facilitates connections between Creators and Advertisers.
We are not a party to agreements between users.

7.1 - Roles

Creators post listings.
Advertisers purchase or negotiate listings.

7.2 - Fees

Spot Ads may charge:

  • 20% Creator service fee (deducted from payout)
  • 5% Advertiser processing fee
  • Stripe processing fees (varies)

Fees may change at any time.

7.3 - Listing Accuracy

Creators are responsible for accurate listing information.

7.4 - Payments

Payments are processed through Stripe. Unauthorized payments may be canceled.

7.5 - Cancellations

Spot Ads may cancel Orders due to:

  • Fraud
  • Creator ineligibility
  • Listing errors
  • Violations of Terms

Advertiser cancellations are generally non-refundable unless approved.

7.6 - Disputes

Spot Ads may mediate disputes but holds final decision-making authority.

8 - Liability Limitations

To the fullest extent allowed by law:

  • Spot Ads is not liable for indirect, incidental, or consequential damages.
  • Maximum liability is the amount paid through the Service, or $100, whichever is greater.
  • Spot Ads does not guarantee any marketing performance results.

Use the Service at your own risk.

9 - External Links

Spot Ads may contain links to external sites. We are not responsible for their policies or content.

10 - Platform Intellectual Property

Spot Ads platform technology, branding, and features are proprietary. Use without permission is prohibited.

11 - Feedback

Any Feedback becomes the property of Spot Ads with unrestricted usage rights.

12 - Changes to Terms

We may modify these Terms at any time. Material updates will be announced 30 days in advance.

Continued use of the Service implies acceptance of the updated Terms.

13 - Sponsorship Refunds, Chargebacks & Post-Delivery Disputes

13.1 - No Refunds After Delivery

Once a Creator delivers the promotional service (shoutout, link, segment, etc.), no refunds will be issued.

Delivery includes:

  • Posting or publishing the agreed content
  • Providing proof (URL, screenshot, video)

13.2 - No Guaranteed Performance

Spot Ads does not guarantee results such as views, engagement, conversions, or sales.
Performance-based refunds are not offered.

13.3 - Chargebacks Prohibited

Chargebacks after delivery violate these Terms and may result in:

  • Account suspension
  • Permanent removal
  • Legal recovery of damages and fees

Spot Ads will challenge fraudulent chargebacks.

13.4 - Refunds Before Delivery

If the Creator has not started the service, refund requests may be reviewed case-by-case.

13.5 - Creator Cancellations

If a Creator cancels:

  • Advertisers receive a full refund
  • Creator receives no payout

13.6 - Post-Delivery Disputes

If the Creator delivered the agreed service, the dispute will be closed with no refund.

If deliverables were not met, Spot Ads may require revisions or issue refunds.

Spot Ads holds final authority in dispute outcomes.

13.7 - Abuse of Refund System

Fraudulent refund attempts or chargebacks may lead to:

  • Account suspension
  • Permanent ban
  • Legal and financial actions

Spot Ads maintains zero tolerance for system abuse.
